Company Secretarial Services

We provide company secretarial and corporate compliance services so that a business meets its statutory and governance obligations. The work suits companies that want their corporate records accurate and their filings made on time, without a partner having to remember each deadline.

Companies without an in-house secretary, boards that need their records brought up to date, and businesses preparing for an audit, a transaction or an investor's questions.

What we do

  • Preparation of board and shareholder resolutions: The resolutions a decision needs, drafted in the form the Registrar and a future buyer will expect to see.
  • Maintenance of statutory records: Registers of members, directors and charges, kept current rather than reconstructed years later.
  • Company filings and regulatory compliance: Annual returns, beneficial-ownership filings and changes that must be notified, tracked against their deadlines.
  • Preparation of notices and minutes: Notices of meetings and minutes that record what was decided and on what basis.
  • Share transfers and allotments: Issuing new shares or transferring existing ones, with the documents, approvals and register entries each requires.
  • Changes in company particulars: Directors, secretary, registered address, objects or name, notified correctly and on time.
  • Corporate governance support: Board calendars, standing agendas and the habits that keep governance from becoming a scramble.
  • General company secretarial advisory: The day-to-day question of what the company must do, record or file before it acts.

How a matter usually runs

  1. A review of what exists: We look at the registers, filings and minutes as they stand, and tell you what is missing.
  2. Bringing the records current: We prepare the resolutions, registers and filings needed to close the gaps, in the right order.
  3. A calendar: Each recurring obligation with its date, so the company knows what is due and when.
  4. Ongoing support: We prepare the documents as decisions are taken, and make the filings as they fall due.

What to bring

  • Certificate of incorporation and constitution
  • The registers of members, directors and charges, however kept
  • Minutes and resolutions from previous meetings
  • Copies of returns and filings already made
  • Details of current directors, shareholders and the registered address

Common questions

Does every company need a company secretary?

Ghanaian companies are required to have one, and the role carries real duties. Many companies appoint an external provider rather than an officer of the business.

What happens if annual returns have not been filed for years?

They can usually be brought up to date, with the penalties that apply. It is better dealt with before a transaction or a bank makes it urgent.

Can you act as company secretary for us?

Yes, or we can support the person already in the role, depending on how much the company wants to keep in-house.

Why do the minutes matter so much?

Because they are the record of what the board considered. When a decision is questioned later, by a shareholder, a buyer or a regulator, the minutes are what answer.
