Corporate Advisory
We give companies, directors, shareholders, investors and entrepreneurs the legal and strategic advice a business needs at each stage of its life: the right structure, compliance with the rules that apply to it, corporate risk kept in view, and decisions made on a clear footing.
Founders registering a first company, boards facing a decision or a filing, shareholders agreeing how they will work together, and investors coming into Ghana who need a structure that holds up.
What we do
- Corporate structuring: The form the business should take, how it should be owned, and what that means for liability, tax and control.
- Corporate governance: How decisions are made and recorded: board and shareholder roles, meetings, resolutions and the limits on each.
- Directors' and shareholders' matters: Appointments and removals, directors' duties, disputes between shareholders, and the exit of a founder.
- Shareholder agreements: The private document that decides what happens when owners disagree, one leaves, or the company needs money.
- Corporate compliance: Annual returns, beneficial-ownership disclosures and licence renewals, kept on a calendar so nothing lapses.
- Commercial contracts: Supply, distribution, service and agency agreements, drafted or reviewed so the risk sits where the price says it does.
- Regulatory advisory: The sector rules that apply to your business, and what a regulator will expect to see when it asks.
- Corporate restructuring: Changes to shareholding, group structure or capital, with the approvals and filings each change requires.
- General business advisory: The standing question of whether a proposed step is one the company may take, and on what terms.
How a matter usually runs
- A short call about the business: What you do, who owns it, what you are trying to achieve, and the deadline if there is one.
- A written scope and fee: One page setting out the documents we will prepare or review, the steps, and the cost of each, before any work starts.
- Drafting and review: We draft, you comment, we revise. Most agreements settle in two rounds.
- Signing and filings: We manage execution and any registration or filing, and hand over a signed set with a note of what happens next.
What to bring
- Certificate of incorporation and constitution, if the company already exists
- Details of shareholders and directors
- Any existing agreement, term sheet or heads of terms
- Correspondence with the other side
- Licences and regulatory approvals that apply to the business
Common questions
How long does it take to register a company in Ghana?
The Registrar's part usually takes a few working days once the papers are complete. The delays come from missing details: directors' identification, the registered address, and the business objects. We check all of it before filing.
Do I need a shareholders' agreement if the company has a constitution?
The constitution is public and general. A shareholders' agreement is private and specific, and it covers what the constitution does not, such as what happens when one founder stops contributing.
What does a director actually have to do?
More than sign. Directors owe duties to the company, and those duties are judged by what was considered and recorded at the time, which is why minutes and resolutions matter.
Do you work with foreign investors?
Yes. We advise on the structure, the registrations that apply to foreign participation, and the local documents an investor needs, working alongside any advisers abroad.
